Valsoft is seeking a talented, versatile, and entrepreneurial Senior M&A Associate to drive our continued global expansion. In this role, you will be responsible for sourcing and executing software acquisitions across diverse verticals, working end-to-end from origination to close.
You will be a full-cycle M&A professional with the charisma and salesmanship to engage business owners and brokers, coupled with the analytical and financial expertise to execute due diligence and close deals. KEY RESPONSIBILITIES
Identify M&A targets that align with Valsoft's growth objectives, aiming to generate $200M+ in buyable revenue opportunities per quarter.
Employ a proactive approach, reaching out to potential targets through various channels, conducting exploratory calls, and fostering relationships with owners and sell-side advisors.
Evaluate and assess target acquisitions against Valsoft's criteria, and determine realistic valuation expectations.
Conduct a comprehensive pre-acquisition due diligence encompassing both commercial and financial aspects in collaboration with the Montreal team.
Negotiate deal terms, ultimately aiming to achieve $15-20M per year in acquired revenues with the support of the Investment Partner.

REQUIREMENTS

Prepare monthly and quarterly assessments and forecasts of the organization's financial performance against budget, financial and operational goals.
Conduct monthly reviews of funder allocations.
Review monthly budget to actual for specific programs and assist managers in managing their budgets.
Prepare and support team with program budgets for funder applications.
Financial Administration
Coordinate the materials for the Finance Committee, including scheduling, preparing agenda, minutes and reporting package.
Drive initiatives in the management team and organization that contribute to long-term operational excellence.
Improve processes and policies in support of organizational goals.
Contribute to short and long-term organizational planning and strategy as a member of the management team.

Requirements
TALENTS & EXPERTISE
Minimum five (5) years experience working in a not-for-profit in a finance leadership role.
Bachelor’s Degree in Business, Finance or Accounting or related field.
Chartered Professional Accountant (CPA) designation is preferred.
Knowledge of government and funder agency structures, procedures and reporting.
Experience developing fundraising strategies, grant applications and project proposals that provide core program/organization support is an asset.
Strong interpersonal, communication and organizational skills.
Highly organized, analytical and detail oriented.
Excellent time-management skills with the ability to simultaneously manage multiple projects and meet deadlines in a fast pace, community environment.

Senior Financial Analyst, Infrastructure Funds
Fengate is seeking a Senior Financial Analyst to join the Infrastructure Funds finance team. Reporting to the Senior Manager, Finance, Infrastructure Funds the individual will be responsible for investor reporting, financial analysis and fund modelling, tax, treasury, compliance, and management of Fengate’s infrastructure funds. This role will interact closely with the project and investments teams, the fund administrator, investor relations team, tax team and external investors. The role offers the opportunity to develop a deep understanding of infrastructure private equity funds, with focus on Fengate’s closed ended infrastructure funds.
The successful candidate will be a self-starter that enjoys working in a fast-paced environment, has a strong commitment to deadlines and the team, is detail and process oriented with a high sense of ownership in their work, and has a superior finance/accounting foundation.
KEY RESPONSIBILITIES
Oversight of the fund’s external administrator to ensure completeness and accuracy of accounting records and financial reporting
Maintain fund models to forecast fund performance and manage liquidity needs, including coordinating across the broader infrastructure team for key inputs
Prepare quarterly investor and management reports and presentations
Responsible for overseeing capital activity (i.e., capital calls and distributions) and treasury functions; perform detailed review of notices and other investor communications prepared by the fund’s administrator
Manage the fund’s day-to-day financial operations, ensuring compliance with governing fund documents and credit facilities
Collaborate with the investor relations team to respond to investor requests and assist with fundraising initiatives
Liaise with tax team and advisors to oversee tax filings and compliance with tax authorities in the U.S. and Canada
Other ad-hoc financial analysis to support the infrastructure business unit and the broader Fengate team (i.e., asset management, legal, investments, etc.)
Contribute new ideas to develop best in class processes and procedures
Requirements
KEY QUALIFICATIONS

Undergraduate degree in accounting, or other relevant technical discipline with minimum of 3 years of experience
CPA designation required
